By accessing DWG Street, the users acknowledges the following Terms & Legal Binding Agreement.

These Terms and Conditions of Use ("Terms", "Agreement") are a legally binding agreement between you ("User", "you", "your") and TallyCounter Pro ("Company", "we", "us", "our") for your access to and use of the web site at https://tallycounter.pro/ and all supporting software, counting tools, utilities and documents.

Any use, access or browsing of any part of TallyCounter Pro means that you have read, understood and agreed with all of the Terms. Do not access or use the web site, and immediately end your session, unless you agree wholeheartedly to these Terms.

Description of Services & License Grant

TallyCounter Pro offers web based calculation and tracking software for your web: Simple Online Tally Counter, Multiple Counter, Digital Tasbih Counter. The access you get and use of our online tools is limited under these Terms, to the extent that you comply with them, to the following non-exclusive, non-transferable, revocable, worldwide license: A personal, educational or lawful internal commercial operational license limited in scope to access and use the online product tools only.

TallyCounter Pro reserves the right without notice or liability to modify, update, suspend or discontinue any feature, tool or utility as deemed fit by TallyCounter Pro, at any time and for any reason.

You will use TallyCounter Pro in compliance with applicable municipal, state, national and international law. You expressly agree that you will NOT:

Use automated processes such as scraping, data mining, crawling or any systematic extraction of assets, text content or stylesheets from a site without explicit written consent.

Try to bypass, disable, decompile, reverse-engineer, or otherwise interfere with security mechanisms, rate limiters, server firewall protection, etc.

Send malicious code, viruses, Trojan or Denial of Service (DoS/DDoS) payloads to our hosting servers.

Without properly crediting and licensing our web applications, frame, mirror, or otherwise re-package in third party commercial products or in frame embedded content.

Use the tools as they relate to illegal activities and/or fraudulent financial scoring and/or misleading capacity reporting and/or harassment.

4. Intellectual Property Rights

Copyrights, trademarks, trade dress, and any algorithm created to run proprietary software, HTML, CSS, and image files and illustrations created for TallyCounter Pro, including the logos and branding, educational blog articles, and database schemas (or portions thereof), are the exclusive intellectual property of TallyCounter Pro and subject to United States and international copyright, trademark and/or trade dress laws and regulations.

No copying, reproducing, re-distribution, re-publishing, selling or creating of derivative works of the software is allowed without prior written authorization from TallyCounter Pro.

5. Disclaimer of Warranties ("As Is" Provision)

TALLYCOUNTER PRO IS PROVIDED AS ON AN "AS IS" AND "AS AVAILABLE" BASIS ON AN EXPRESS AND IMPLIED BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE.

In as much as lawfully permitted by applicable law, TALLYCOUNTER PRO disclaims all implied warranties, including but not limited to the warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. THERE CAN BE NO GUARANTEE THESE COUNTING UTILITIES WILL BE 100% ERROR-FREE, CONTINUOUSLY UNINTERRUPTED, COMPATIBLE WITH ALL FUTURE BROWSER UPDATES OR FREE FROM DATA CLEARANCE DUE TO LOCAL DEVICE STORAGE ACTIONS.

6. Limitation of Liability

TO THE EXTENT PROVED TO US, UNDER NO LEGAL CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL TALLYCOUNTER PRO, OR ANY OF THE FOUNDERS, EMPLOYEES, AFFILIATES, OR HOSTING PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA LOSS, REGULATORY FINES ARISING FROM INCORRECT OCCUPANCY HEADCOUNTS, OR BUSINESS INTERRUPTION) TO ACCEUM OR ACCUMULATE IN ANY WAY OFF OF OUR WEBSITE.

7. Indemnification

You agree to defend, indemnify and hold TallyCounter Pro, its officers, directors, contractors and agents harmless from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) as a result of your use of the counting software or as a result of your violation of third party rights or by your violation of these Terms.

8. Governing Law & Dispute Resolution

All these Terms shall be governed by, construed and effected in accordance with substantive Delaware, United States, law, subject to any otherwise applicable conflict of law principles. Potential litigation or action under these Terms shall be brought only in the federal or state courts in the State of Delaware.

9 Data Export, Backup Responsibility & User Archiving

TallyCounter Pro is capable of downloading and exporting counter states by using a JSON backup file and CSV spreadsheets as part of its built-in functionality; you recognize, accept and agree that you are responsible for making regular offsite backups of operational data. TallyCounter Pro doesn't keep cloud database copies of your unique tallies. Should there be any failure in local hardware, corruption of the browser profile or intentional clearing of browser application storage, we cannot guarantee that it will be able to restore any of the numerical tallies that have not been exported.

10. Interactions with Third-Party Services, Links & Advertising

Our web applications show contextual ads via Google Adsense, and may contain links that lead the user to external technical documentation, standards organizations or partner portals. TallyCounter Pro isn't responsible for, endorsing, or sponsoring the content, services, goods or representation provided by third parties. All commercial transactions, agreements or interactions carried out between you and third party advertisers are purely at your own risk.

11. Severability, Non-Waiver & Complete Agreement

Should any provision of these Terms be found to be illegal, null and void or otherwise unenforceable by a competent court of jurisdiction, this provision is separated and does not impact other provisions of these Terms that may be freely valid and enforceable. Failure or delay by TallyCounter Pro to act on any right, power or remedy hereunder is not a waiver of any right, power or remedy in this case. These Terms of Service are the full legal agreement between you and TallyCounter Pro in regard to the use of our counting utilities.
